AMBISONIC SPACES END USER LICENSE AGREEMENT

By downloading any Ambisonic Spaces / Environments product or demo from this website (or any David Woje product from partner or affiliate websites), you agree to be bound by the full terms and conditions of this license agreement. The following license agreement is granted for the Ambisonic Spaces / Environments and all its libraries.

1) GRANT OF LICENSE

After purchasing one or all of the Ambisonic Environments libraries, David Woje (Licensor) grants you (Licensee), a royalty-free license to use all, any, or part of the sound libraries and its contents laid out in this agreement.

2) RIGHTS GRANTED

Upon payment in full:

1. Licensee can use the licensed sounds on an unlimited number of the following projects for the entirety of their lifetime.
2. Licensee can use the licensed sounds for personal and commercial projects without attribution to Licensor.
3. Licensee can use the licensed sounds for synchronization for audio and visual projects without limitations. These project can be the following:

• Films, television, radio, and documentaries
• Commercials
• Video games
• Podcasts and audio dramas
• Blogs and websites
• Education
• Concerts, theater or live events
• Musical compositions
• YouTube / Vimeo / Online Social Media productions (No original sounds to be used for videos exclusive to the sounds. e.g. Videos focusing on the sounds to capitalize on re-selling for monetization.)

3) Limitations

1. The Licensor retains all rights, ownership and copyright of all sounds
2. The Licensee may not claim ownership of the sounds.
3. Licensee must not sell any original sounds.
4. The Licensee may not use the sounds (or parts thereof) without written consent* including:

• Applications including software
• Spotify
• YouTube / Vimeo / Online Social Media productions (No original sounds to be used for videos exclusive to the sounds. e.g. Videos focusing on the sounds to capitalize on re-selling for monetization.)
• Kontakt Sound Libraries
• Virtual Instruments

Failure to obtain this consent will leave the Licensee liable for royalty payments for any sounds used. A right to use the sounds is granted to the Licensee only; it is not transferable. This license expressly forbids resale, re-licensing or other distribution of the sounds, either as they exist or any modification thereof. You cannot sell, loan, rent, lease, assign, upload or otherwise share or distribute original versions or copies of the sounds, nor transfer all or any of the sounds to another user.

4) Termination

The license granted under this agreement, and the Licensee's right to use the sounds will automatically terminate in the event of any breach by the Licensee of the terms of this agreement. In such an event, the Licensee will be required to destroy all copies of the sounds they have produced.

5) Warranty

The sounds are simply sold "as is" without any implied warranty.

6) Exclusive / Non-Exclusive License

7) Jurisdiction

This License is governed and construed in accordance with the laws of the United States and the said courts shall have sole jurisdiction.
